Here is our General Service Agreement that you will sign before service starts.
This Service Agreement (the “Agreement”) is entered into {{contractCreationDate}}(the “Effective Date”) by and between {{clientFullName}}(the “Customer”) located at {{clientAddress}} and {{myOrganizationName}} (the “Service Provider”) located at {{myOrganizationAddress}}, also individually referred to as the “Party”, and collectively the “Parties”.

This document covers all of our services. By signing up, you agree to the areas related to those services.
The Real Social Company shall perform any services paid for in your monthly invoice.
What Each Service Includes
Managed Hosting + Maintenance includes

Website Maintenance
We offer maintenance of 5-10 updates per month. This lets you have us update images, post blogs, change text, add pages, etc.
You will have full admin access to the website to make any changes you like.
With this contract, we offer a minimum 6-month hosting service, after which you can move your website if you wish.
Everything designed is your property. We do not use any copied content or images that will not belong to you.
Websites will focus on usability and be designed using basic SEO best practices to help you rank on search engines.
The site will be fully mobile-friendly.
We will include your branding based on the website onboarding form.
We build sites on a test server, design them, and then have you review them and send us the changes you would like. This is a maximum of three passes. After three passes, there is a $100 fee per design pass.
Our websites are hosted on fully Wordpress-optimized servers (ranked #1 in the USA for the past five years). This increased server speed also helps with SEO, giving about a 40% boost over other hosting services.
Web hosting and maintenance fee begins immediately for completed sites, or 30 days after website design has started.

SEO is never guaranteed. We use best practices to get your website ranking in your service regions and for your products and services. SEO is a long-term commitment to quality content and best practices. Six months is our minimum term, but SEO is a never-ending process and does not guarantee customers.
Advertising
We can help with your advertising and do our best to meet your standards. We offer no guarantees for ads, but we guarantee that we will use industry best practices to maximize your advertisement's potential.
All ads are 6-month agreements. (You must run six ads over six months).
If your account is ad-restricted, we cannot advertise.
Ad budgets for social media are $300 per month and for Google/Bing, $1000 per month.
We offer no guarantees for ads being taken offline. Facebook and Google are notorious for canceling ads for medical services. We try to abide by all their rules, but sometimes, they cancel ads that seem okay. If an ad is canceled, we will relaunch it with your remaining funds at no charge.
There is no guarantee of customer response to ADS.
Blogging
We will create four blog posts per month based on your services or products. These will be posted on your website in the queue. You can request that they post automatically, or we can publish them as drafts that you publish yourself.
We accept any and all blog ideas from you. If you have a specific article idea, please let us know.
Email Management
We will design emails either on-demand or weekly. Each email is created using content you send us, events, requests you make, etc. We will design an email based on your services and products if nothing is sent to us or requested.
Emails will be sent to your account email as a test; when you send us an approval notification, the email will be scheduled.
Upon request, we can generate emails and send them without approval.
You must give us access to your email platform. Typical platforms are Constant Contact, Bravo, or Mailchimp, but we can use any email platform you provide us with access to.
Social Media Management
Depending on your service level will determine the number of posts you get per week. We do our best to match your brand, tone, and aesthetic. We take content sent to us, and if not available, we design content from your website and our experience with industry services.
We design posts and load them into the social scheduler on a date and time best suited for that post. Each day's post will replicate across all platforms you are signed up for. If post approval is turned on, your social media manager will get a notification of posts awaiting approval. Once approved a post will ‘POST’ at the scheduled date and time.
Posts are typically scheduled every Monday morning for the entire week. If a post is not approved, it will not be posted.
If you need to change a post, please submit a HELPDESK request with the post date and what needs changing or fixing (we do make mistakes). Posts not approved will be reposted on another date within five days.

- Each account gets one social manager member for approval purposes, and each additional manager costs $10 monthly.
Social Media Downtime
We are not responsible for any social media downtime, locked accounts or anything like that. There are no refunds for items not
posted, but we will offer additional posts.
Ending Service
All of our services require a 30-day notice for cancellation.
If you cancel before the end of your monthly billing period without providing the required 30-day notice, all services will be stopped immediately and turned canceled without any backup.
Limitation of Liability
While we strive to ensure the security of our services, we cannot guarantee that our systems are entirely free from hacking, phishing, fraud, or other malicious activities. We are not responsible for any damages, losses, or issues that arise from such activities, including but not limited to unauthorized access to your information, financial loss, or any other impact on your experience. By using our services, you acknowledge and agree that we are not liable for any consequences related to these issues.
Payments
We require a credit card on file for all services. If you do not have a card on file for payment we reserve the right top cancel service. If you do not have a card on file and your invoice become due, all service stops until the invoice is brought current.
We do not have access to any cards on file at any time. If you have multiple cards on file the system will try and charge the 1st card and if it fails it will move to the 2nd card on file, and down the line.
Discounts & Special Rates
If you receive a sale or special discounted rate and discontinue services, any future services will be billed at the current standard rates when you return.
Reporting
You will have on-demand automated monthly reporting and can schedule 1 phone call per month to review the report.
Refunds & Cancellations
- Services must be canceled upon receipt of an invoice, and no refunds will be provided for services terminated mid-agreement.
- We do not offer refunds for unused services. However, we are happy to email you any remaining content you are owed. If you believe there is outstanding content, don't hesitate to get in touch with us, and we will promptly send it to you.
- Once an agreement with The Real Social Company is canceled, all posting activities on your scheduler, website, email platform, etc., will cease immediately.
- Refunds are only available within 24 hours of purchase, provided no content has been created for you.
Service Term
The term of this Agreement shall commence on the date of payment and continue for unless terminated per the terms of this Agreement. We request access to your accounts within 12 hours of you making payment and send instructions on approving this access and/or adding your social media accounts to our platform. Please be timely as posting can begin as soon as access is granted. Ensure you have all the social media information for your accounts before beginning service, as your service starts at the time of payment, not at the time of the first post.
Relationship of the Parties
- No Exclusivity. The Parties understand this Agreement is not an exclusive arrangement. The Parties agree they are free to enter into other similar agreements with other parties.
- Independent Contractor. The Real Social is an independent contractor. Neither Party is an agent, representative, partner, or employee of the other Party.
- All content produced for your business on social media is your property, and you can re-use it at will. The Real Social Company can use the content in our portfolios and advertisements.
Dispute Resolution
- Choice of Law. The Parties agree that this Agreement shall be governed by the State and/or Country in which the duties of this Agreement are expected to take place. In the event that the duties of this Agreement are to take place in multiple States and/or Countries, this Agreement shall be governed by Ohio law.
- Negotiation. In the event of a dispute, the Parties agree to work towards a resolution through good faith negotiation.
- Mediation or Binding Arbitration. In the event that a dispute cannot be resolved through good faith negotiation, the Parties agree to submit to binding mediation or arbitration.
- Attorney’s Fees. In the event of Arbitration and/or Mediation, the prevailing Party will be entitled to its legal fees, including, but not limited to, its attorneys’ fees.
Notices
All notices under this Agreement must be sent by email, entered in the help desk, or logged in your customer portal.
You agree to watch for emails from The Real Social Company to keep up on news and changes.
